Legal Counsel

 Managing the corporate law aspects of the existing entities of TotalEnergies Renewables in the region, including leading incorporation of entities, preparing boards and shareholders’ meetings and ensuring compliance with the governance rules of these entities, 

 Launching RfP for the selection of advisors, 

 Supporting in general the senior team members of the legal team, 

 Drafting and/or reviewing a wide range of contracts (power purchase agreements, confidentiality agreements, letters of intent, MOUs, joint development agreements, shareholders agreements, EPC contracts, O&M agreements, land agreements) and actively participating in their negotiation. 

 Preparing legal documentation for responses to calls for tenders for renewable projects and following the legal aspects of such projects once awarded (creation or participation in joint ventures, implementation of agreements). 

 Supporting the business development, construction, and asset management teams. 

 Coordinating and supervising the work of external law firms while applying the legal group policies related to the choice of law firms. 

Middle East and Africa Corporate Governance & Compliance

 Develop and implement policies and procedures to ensure the organization’s interactions with public officials are compliant with applicable laws and ethical standards. 

 Monitor and review communications and transactions involving public officials to prevent bribery, corruption, or any undue influence. 

 Provide training and guidance to employees on best practices for engaging with public officials, including adhering to relevant anti-corruption and transparency regulations. 

 Maintain records of all engagements with public officials and prepare reports as required by regulatory bodies. 

 Serve as the point of contact for internal inquiries regarding compliance in dealings with public officials. 

 Manage Compliance in Joint Ventures (JVs)": 

 Develop and implement compliance frameworks to joint ventures, ensuring alignment with corporate policies and regulatory requirements. 

 Conduct due diligence on JV partners to assess compliance risks and integrity concerns. 

 Establish and monitor compliance controls within JVs, including anti-corruption, data privacy, and financial regulations. 

 Collaborate with JV partners to ensure adherence to joint compliance standards and facilitate effective communication of compliance expectations. 

 Provide ongoing compliance training and guidance to JV stakeholders to foster a culture of compliance. 

 Conduct periodic compliance audits and assessments within JVs, addressing any issues or gaps and recommending corrective actions. 

 Serve as a liaison between the JV and internal corporate compliance functions, ensuring consistent standards are maintained.
